Terms of Service
Effective 2026-10-15 · Version 2026-10-15
What changed in this version
- The Copyright & DMCA Policy, Acceptable Use Policy and AI & Agents Terms are now sections of these Terms: Use of the Service, AI and Agents (§8) and Copyright and DMCA (§9). The rules are the same; the text is shorter.
- The Service Level Agreement is retired. Service levels, if any, are set out in your Enterprise Agreement; a Pro or Institutional subscriber whose plan included a service level keeps it until the end of the current billing term.
- Enterprise is the Plan for organisations and teams, under a signed Enterprise Agreement: multi-seat use and, where its Order Form says so, display in your own products and client deliverables. Redistribution, resale and white-label use need a separate Redistribution Licence, which no Plan includes. Pro and Institutional are single-seat internal-use Plans, and no earlier Plan or term carries wider rights forward.
- Corrected on October 28, 2026, under the same version: the single "Commercial Agreement" is replaced by the Enterprise Agreement and the Redistribution Licence, and the transition clause for earlier Institutional subscribers is removed.
- Also corrected on October 28, 2026, under the same version: the section on third-party trademarks and index data added on October 27, 2026 is §19, so §20 to §31 and every cross-reference to them are renumbered; §3 describes how assent is actually recorded (the sign-in notice at account creation, the checkout box for a purchase); §6.2, §6.3 and §6.7 state the renewal reminders, the Cancel plan button and what happens on a failed payment as the systems do them; §13 and §16.3 say how index membership and Form ADV records are built; §14 describes what a certificate's payload attests; and the User Content definition says "watchlists".
- Nothing else changed: Plans, prices, renewal, cancellation, refunds, arbitration, liability and governing law are as in the version of October 3, 2026.
- October 28, 2026 (not material, so no new acceptance): Agent runs have no limits and no fees; AI compute is billed only for what is used (§6.5). §6.5 now also states that a card top-up carries no processing fee, that new Accounts may start with a welcome credit (one per person, while offered), that each Plan includes a monthly AI compute allowance spent before your own balance, and the order of use. This also records the October 21, 2026 wording on the monthly allowance, which was published without a version note. §6.1 says the pricing page lists every quota, and that a Seat is one named person per subscription.
- Corrected on October 28, 2026, under the same version: §6.5 now says the balance pays for AI compute only. A coverage read has no read fee and costs only the AI compute it uses, and the balance no longer buys data outside your Plan; an AI agent that buys such data per call pays by card for that call.
- Corrected on October 29, 2026, under the same version: §16.3 and the notice in §19 now describe the public information index membership is reconstructed from as SEC filings, the portfolio holdings disclosed by funds that track each index, publicly available constituent lists and public reports of index changes.
1.Who we are and what these Terms cover
In short: this is a contract between you and Valuein. It covers everything we offer: the website, the Workspace, the API, the MCP Server and the SDK.
These Terms of Service ("Terms") are an agreement between you and DOMO SECURE LLC, a New Jersey limited liability company doing business as Valuein ("Valuein", "we", "us"). If the business moves to a company formed to carry it on, we may transfer these Terms to that company under §30. We will tell you when we do; your rights will not change.
These Terms govern your access to and use of: valuein.biz and its subdomains; the Bulk Data API at data.valuein.biz; the MCP Server at mcp.valuein.biz; the Python SDK (valuein-sdk); the Workspace, including its AI Features and Agents; and the related documentation, tools and services (together, the "Service").
2.Definitions
Capitalised words have these meanings. Words defined in the Data & API License Schedule (Cached Data, Derived Work, Display, EDGAR-Derived Data, Insubstantial Excerpt, Internal Use, Market Data, Model Training, Redistribution) have the meanings given there.
- "Account" — your registered Valuein account.
- "Agent" — any automated process, AI model, script, workflow or automation that uses the Service through your Account or Credentials. This includes Valuein's own agents running for you.
- "AI Features" — the parts of the Service that use a large language model or other machine-learning system to generate or transform content, including the Workspace chat and research Agents.
- "AI Output" — content generated by an AI Feature.
- "Business User" — anyone who uses the Service on behalf of a company, fund, firm or other organisation, or who signs an Enterprise Agreement or a Redistribution Licence. An individual who subscribes in their own name is a Consumer under these Terms, even if they use the Service in their own investing or work.
- "Consumer" — an individual who is not a Business User.
- "Credentials" — API tokens, MCP tokens and OAuth grants, sessions, sign-in codes, and anything else that authenticates access to your Account.
- "Documentation" — the guides, references and schemas we publish for the Service.
- "Enterprise Agreement" — a signed agreement for an organisation and its team: a Master Subscription Agreement with one or more Order Forms. It covers multi-seat use of the whole dataset across the organisation and, where the Order Form says so, Display in the organisation's own products and in client deliverables, with attribution. It does not include Redistribution.
- "Feedback" — suggestions, ideas, feature requests or bug reports you give us.
- "Plan" — the subscription level of your Account: Sample, Benchmark, Pro, Institutional, or Enterprise (under an Enterprise Agreement). Pro and Institutional are single-seat internal-use Plans. Current Plan features, prices and limits are on the pricing page and at data.valuein.biz/v1/plans.
- "Published Content" — User Content you make visible to people other than you, for example a public profile, a shared report link or a published thesis or claim.
- "Redistribution Licence" — a separate signed licence for data vendors and platforms that permits Redistribution of Valuein Data: passing raw or bulk data to third parties, reselling it, or white-labelling it. No Plan includes Redistribution, including Enterprise.
- "Restricted Party" — a person or place described in §28.2(a) or (b).
- "Seat" — one named individual human. A Seat may not be shared. Agents may act only for the single human Seat holder who controls them; an Agent that serves, or whose output is delivered to, any other person, team, firm or client needs a Seat for each person it serves or an Enterprise Agreement that covers that use.
- "User Content" — content you create, upload, generate or store in the Service: theses, claims, reports, watchlists, signals, Agent definitions and memory, chats, uploads and profile information.
- "Valuein Data" — all data made available through the Service, including EDGAR-Derived Data and Market Data, in any format.
3.Accepting these Terms
In short: you accept when you sign in to create an account (the sign-in page says so) and when you tick the box to buy a Plan. We keep a record of that.
You accept these Terms when you create an Account: the sign-in page states that by continuing with Google, LinkedIn or an email code you agree to these Terms and our Privacy Policy, and we record that assent before an Account or Credential is provisioned for you. When you buy a Plan, you tick the box in checkout that confirms the renewal terms and your agreement to these Terms. If you use the Service only through a Credential (the API, SDK or MCP) and never signed in, you accept them by continuing to use that Credential after we email you notice of them; we will ask you to accept them the next time you sign in. We record your acceptance: your Account email, the document version, a fingerprint of the text, the time, the IP address, the browser or client, and where and how you accepted. We keep that record for as long as the Terms apply to you, plus the period our Privacy Policy states.
The Data & API License Schedule forms part of these Terms.
The Privacy Policy and the Financial Disclaimer explain how we handle personal information and what our Service is not. If documents conflict, this order applies: an Enterprise Agreement or a Redistribution Licence (for its subject matter), then the Data & API License Schedule, then these Terms, then the other documents.
Service levels, if any, are set out in your Enterprise Agreement. If you subscribed to Pro or Institutional before October 15, 2026 under a plan that included a service level, we will honour it until the end of your then-current billing term.
If you use the Service for an organisation, you confirm that you can bind it, and "you" includes that organisation. If you do not agree, do not create an Account or use the Service.
4.Eligibility
You must be at least 18 and able to form a binding contract. You may not use the Service if you are in a country or region under comprehensive U.S. sanctions, or are listed on, or owned or controlled by someone listed on, a U.S. government restricted-party list (see §28, which also covers your users and end users). You will give accurate registration information and keep it current.
5.Accounts, Seats, Credentials and Agents
In short: one Account and one Seat per person. Keep your Credentials to yourself. Agents act for you, and you are responsible for them.
- One person, one Seat. Each Seat belongs to one named individual. You may not share a Seat, an Account or Credentials, or let anyone else use them. A person may hold only one free Account.
- Agents. Agents may act only for the single human Seat holder who controls them. An Agent that serves, or whose output goes to, another person, team, firm or client needs a Seat for each person it serves or an Enterprise Agreement that covers that use. Usage by your Agents counts as your usage, including rate limits, quotas and charges.
- Credentials. Credentials are personal to your Account and cannot be transferred. You may not sell, give, lend, share, sublicense or disclose them to anyone else, or let anyone else use them, except as an Enterprise Agreement or a Redistribution Licence expressly allows. Keep Credentials secret: never in client-side code, public repositories or shared documents. Tell us at legal@valuein.biz promptly if you think one is exposed, and rotate it in your Account settings. Rotation revokes the old one immediately. You are responsible for activity under your Credentials unless it results from our own security failure.
- Our measures. Each Credential is tied to one Account. We may rate-limit, monitor for misuse, revoke and reissue a Credential we reasonably believe is compromised or shared, and suspend access under §23.
6.Plans, billing, renewal, cancellation and refunds
In short: paid Plans renew automatically until you cancel. You can cancel online at any time, effective at the end of the period you have paid for. You get a full refund if you ask within 7 days (monthly) or 14 days (annual).
6.1 Plans. Each Plan's data coverage, features, rate limits and quotas are described on the pricing page and served at data.valuein.biz/v1/plans. What you may do with Valuein Data on each Plan is in the Data & API License Schedule. Paid Plans are priced per Seat: one Seat, one named person, per subscription. Teams are Enterprise. The pricing page lists every quota that applies to a Plan, including rate limits, daily bulk downloads, storage and the monthly AI compute allowance.
6.2 Automatic renewal. A paid Plan renews automatically at the end of each monthly or annual period, at the price then in effect for your Plan, and we charge your payment method on file through Stripe, until you cancel. Before you subscribe, we show you the price, the billing frequency, that the Plan renews until cancelled, and how to cancel, and we ask you to agree to those renewal terms. We send a confirmation by email. For annual Plans, we email you a reminder between 15 and 30 days before each renewal, with the amount, the date and how to cancel; for monthly Plans, we email a reminder once a year.
6.3 Cancelling. You can cancel online at any time: Account settings → Billing → Cancel plan, which opens our payment processor's portal to confirm. You can also email support@valuein.biz. Cancellation stops future renewals. You keep access until the end of the period you have paid for. Your Account then moves to the free Benchmark Plan unless you delete it.
6.4 Refunds.
- Monthly Plans: a full refund if you ask within 7 days of your first purchase of, or upgrade to, a paid Plan.
- Annual Plans: a full refund if you ask within 14 days of the start of an annual term, including a renewal term.
- How: email legal@valuein.biz from your Account email. We issue an eligible refund within 3 business days to the original payment method. Your bank usually shows it within 5–10 business days.
- Otherwise: outside these windows, fees already paid are not refunded, except as §6.6, §23.3, §24.1, §29 or the law where you live requires.
- EU and UK consumers: you may withdraw within 14 days of purchase without giving a reason. We refund the full amount.
- No refund after termination for a breach: we do not refund fees when we terminate your Account for a material breach of these Terms, unless the law requires it.
6.5 Prepaid balance and AI compute.
- What the balance pays for: your balance pays for AI compute only: Valuein AI chat and Agent runs, coverage reads included. Your Plan pays for the data, and the balance never buys data. There are no run limits, no run fees and no read fees: an Agent run or a coverage read costs only the AI compute it uses, charged as the posted price of the model plus the posted markup. If you use your own model API key, we charge no AI compute for that use. Data outside your Plan that an AI agent buys per call is paid by card for that call, never from the balance.
- Card-funded balance: the balance you add by card for AI compute does not expire. We absorb the card processing fee on a top-up. When you close your Account, we refund any unused card-funded balance. Email legal@valuein.biz first: self-serve deletion stays unavailable while a card-funded balance remains, so that the balance is not lost.
- Welcome credit: new Accounts may start with a welcome credit of AI compute, one per person, while we offer it. It expires 30 days after we grant it.
- Monthly compute allowance: each Plan includes a monthly AI compute allowance, shown on the pricing page. It is spent before your own balance, resets at the start of each calendar month (UTC) and does not carry over. On a free Plan it begins once the welcome credit is used up or expires.
- No cash value: neither the welcome credit nor the monthly allowance has cash value, can be refunded or can be transferred.
- Order of use: we spend the welcome credit and the monthly allowance before your card-funded balance.
- Usage by Agents: usage started by your Agents, automations or scheduled tasks is charged the same way as usage you start yourself.
- Safety limits: we may cap what a single automation can run or spend in a day to protect your balance and the Service.
6.6 Price changes.
- Notice: we give at least 30 days' notice by email before a price change.
- Annual Plans: the new price applies only from your next renewal.
- Your options: if you do not want the new price, cancel before it applies.
- New York residents: we either obtain your consent to the increase, or let you cancel and receive a pro-rata refund within 14 days after the first charge at the higher price.
6.7 Failed payments, disputes and taxes.
- Failed payments: if a payment fails, we suspend paid features at once and our payment processor retries the charge; access returns when a retry succeeds. If the retries fail, the paid Plan ends and your Account moves to the free Benchmark Plan.
- Card disputes: if you think a charge is wrong, please contact us first. While a card dispute is open, we may suspend paid features on that Account.
- Taxes: prices exclude taxes. You pay applicable taxes, and we add them where we must collect them.
6.8 Free Plans. We may change or discontinue the Sample or Benchmark Plan on 30 days' notice. Free Plans have no service-level commitment.
7.Your licence to use the Service and Valuein Data
In short: you may use Valuein Data for your own internal work and quote small excerpts with credit. Showing it in your organisation's products or client deliverables needs an Enterprise Agreement; passing it on, reselling or white-labelling it needs a Redistribution Licence; training models others will use needs a signed agreement that expressly permits it. Anything you build from it is yours.
While you comply with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access the Service and use Valuein Data as the Data & API License Schedule allows for your Plan. This licence applies to all Valuein Data however obtained, including the free sample accessed without an Account; by downloading or using it you accept this licence. In short:
- Internal Use is permitted on every Plan.
- Insubstantial Excerpts may be quoted with attribution.
- Your Derived Work is yours, forever.
- Display beyond Insubstantial Excerpts, including in your organisation's own products and client deliverables, requires an Enterprise Agreement whose Order Form grants it, with attribution.
- Redistribution, including resale and white-label use, requires a Redistribution Licence. No Plan includes it, including Enterprise.
- Model Training requires an Enterprise Agreement or a Redistribution Licence that expressly permits it.
- You may cache Valuein Data while your subscription is active. Delete raw and cached copies within 30 days after it ends.
- Market Data is licensed to us by third parties. You receive it only to the extent our upstream licence permits.
No transition period. On every self-serve Plan, including Institutional, Display and client deliverables beyond Insubstantial Excerpts require an Enterprise Agreement, and Redistribution, resale and white-label use require a Redistribution Licence. No earlier Plan, paid term or Data License Agreement carries those rights forward.
8.Use of the Service, AI and Agents
In short: use the Service only through our official interfaces, within your limits. AI can be wrong, so check the filings. You answer for your Agents.
8.1 Use of the Service. You will not:
- scrape or automate access outside the documented API, SDK, MCP Server or Workspace;
- circumvent rate limits, quotas, authentication or other technical measures, including with multiple Accounts or rotating IP addresses;
- share, sell, lend, transfer or sublicense Credentials;
- manipulate a market, tout a security without disclosure, or trade on or spread material non-public information;
- build a competing dataset or "shadow database" from Valuein Data, or benchmark the Service for a competing product without our written consent (your right to publish an honest review is unaffected, 15 U.S.C. §45b);
- reverse engineer our non-public mappings or pipeline, or overload the Service.
Good-faith security research is permitted if you report what you find promptly to security@valuein.biz, access no one else's data, do not degrade the Service, and give us reasonable time to fix the issue before you disclose it.
8.2 Agents. An Agent's conduct is your conduct, and an Agent acts for one human Seat only. You supervise it. Approval prompts help but do not move responsibility to us. Workspace Agents do not trade or move money, and publishing needs your approval.
8.3 AI Output. AI Output may be wrong and is not investment advice. Figures from Valuein Data carry a fact_id that links to the filing: trace the ones that matter before you rely on them. We are not responsible for how a third-party model misstates our data. Filings, uploads and web content may contain text written to manipulate a model, so check any surprising output or unrequested action before you approve it. Do not use AI to mass-produce misleading financial content, extract system prompts or other users' data, or train models on Valuein Data beyond the License Schedule.
8.4 Your AI key and training. We never store your AI key in plaintext. It is sealed with AES-GCM, kept in a cookie that expires within 24 hours and in an encrypted key vault so standing automations can run, and decrypted only in memory to call your provider. You can remove the vaulted copy at any time in chat settings. We do not use your prompts, uploads, saved research, Agent memory or AI Output to train any model.
9.Copyright and DMCA
In short: if you believe something on Valuein infringes your copyright, send our Copyright Agent a notice. SEC filings are public records and we claim no copyright in them.
9.1 Copyright Agent. Copyright Agent, Valuein, legal@valuein.biz. Use the subject line "DMCA notice" or "DMCA counter-notice".
9.2 Notice. In writing, with: your signature; the work you claim is infringed; the infringing material and its URL; your name, address, phone and email; a statement of good-faith belief that the use is unauthorised; and a statement, under penalty of perjury, that the notice is accurate and you act for the owner. We remove or disable the material expeditiously and tell the user who posted it.
9.3 Counter-notice. If your material was removed by mistake, send a signed counter-notice identifying the material and its prior URL, with a statement under penalty of perjury of your good-faith belief, your name, address and phone, and your consent to the jurisdiction of the federal court for your address and to service from the complainant. We restore the material 10 to 14 business days later unless the complainant files suit.
9.4 Repeat infringers. We terminate repeat infringers in appropriate circumstances: three valid takedowns in 12 months end the Account, sooner for blatant infringement.
False notices are actionable under 17 U.S.C. §512(f).
10.User Content and public sharing
In short: your content is yours. You let us host it, and display it publicly if you publish it. Published content must be lawful and honest. We can remove it.
10.1 Ownership. You keep all rights you have in your User Content.
10.2 Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit and display your User Content only as needed to provide the Service to you. For Published Content, you also grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to display, distribute and create previews and metadata of it, so the public sharing, profile, search-indexing and discovery features work. This licence ends for an item within a reasonable time after you delete or unpublish it. It does not reach copies that third parties have already made.
10.3 Your promises. You have the rights needed for your User Content, including uploads of third-party research. Your User Content and its use under these Terms:
- does not infringe anyone's rights;
- is not unlawful, defamatory, deceptive or harassing;
- does not disclose material non-public information you may not share;
- does not violate securities laws, including those on market manipulation, touting and unregistered investment advice;
- does not misrepresent its source or the performance of any analysis.
10.4 Published research. Each published research page shows that it reflects the author's views, is not investment advice, that the author may hold positions in the securities discussed, and that AI may have drafted parts of it. If you publish theses, claims or reports, we may score their outcomes against later filings and prices and show a track record on your profile under a fixed method. Grades are informational, are not verified investment performance, and may change when data is restated. You may not delete graded content selectively to misrepresent a track record. We may keep and show aggregate accuracy statistics to prevent that.
10.5 Our right to act. We do not pre-screen User Content and do not endorse it. We may remove or restrict User Content, a profile or a handle that we reasonably believe breaks these Terms or the law, is the subject of a valid complaint, or creates legal or security risk. We handle copyright complaints under the Copyright and DMCA section, including our repeat-infringer policy.
11.Research Catalog (if and when offered)
No paid research marketplace is offered today. If we launch one:
- Merchant of record. We act as merchant of record through Stripe. The author is the seller. We are not the author, reviewer or guarantor of any report.
- What buyers get. Reports are informational, provided as-is, and are not advice. A buyer gets a personal, internal-use licence only, with no right to republish, resell or create competing products.
- Sellers' obligations. Sellers make the promises in §10.3 for each report and indemnify us under §22 for claims arising from it.
- Refunds and payouts. Refund rules for each purchase, and payout terms, are shown at the point of sale.
12.Not investment advice
In short: we publish data and tools, the same for every subscriber. We do not tell anyone what to buy or sell. You make your own decisions.
Valuein publishes financial data and research tools of general and regular circulation, on the same terms to every subscriber on a Plan. We are not:
- an investment adviser;
- a broker-dealer, commodity trading adviser or municipal adviser;
- a fiduciary, financial planner, accountant, tax adviser or lawyer.
We do not provide investment, financial, trading, tax or legal advice. We do not know or consider your financial situation, objectives or holdings.
Nothing in the Service is a recommendation, solicitation or offer to buy, sell or hold any security. That covers Valuein Data, AI Output, Agent results, screens, valuations (including DCF tools), research, documentation, and other users' Published Content. Some features compute results from inputs you choose, such as holdings, weights, assumptions, mandates and Agent goals. Those results are your work product: arithmetic or model output based on your parameters, not advice from us. Backtests are hypothetical. They do not reflect actual trading and do not predict future results. Past results do not guarantee future results.
You make your own investment decisions, at your own risk, and you should get advice from licensed professionals where appropriate. If you are a regulated person, or you advise others, your own compliance obligations remain yours. Verify any figure against the original filing before you rely on it in advice, marketing, a client deliverable or a regulatory filing. The Financial Disclaimer gives more detail.
13.Data observations about public companies and people named in filings
Parts of the Service publish mechanical, automated observations derived only from issuers' own SEC filings, for example the Restatement Radar and revision histories. Each observation links to the underlying filings so anyone can check it.
What observations do not say. An observation does not state or imply that an issuer or person broke a rule, made an error, concealed anything, traded on material non-public information or acted improperly. A label that says no amendment or Item 4.02 report was located describes our index of the filing record, not the issuer's conduct. Detection is automated and may be wrong or incomplete. The absence of an observation means nothing.
Records about individuals. Records naming individuals (Forms 3, 4, 5 and 144, Schedules 13D and 13G and Form 13F) reproduce what was filed, attributed to the filing, plus mechanical aggregates of it. Form ADV records describe advisory firms, not their personnel.
Corrections. Anyone, including an issuer, can ask for a correction by email to legal@valuein.biz or, on company data pages, through the report-a-data-issue control. We review requests in good faith and correct, annotate or remove inaccurate material. We owe no duty of care to any issuer or other third party in connection with observations.
14.Verification certificates
Some features issue signed, publicly verifiable certificates, for example point-in-time backtest certificates. A certificate attests only the narrow claims recited in its signed payload: that each fact the report cites carried an SEC acceptance timestamp no later than the decision date that used it; that each figure was checked against its filing or recomputed by our engine, and how many a person reviewed; and the universe the run used, which includes later-delisted securities.
A certificate is not:
- an audit, review or attestation engagement;
- a statement that a strategy is sound, suitable or profitable;
- a statement that data is accurate;
- evidence that any regulatory requirement is met.
Revocation. Certificates can be revoked. The status published at the certificate's verification URL governs, because a valid signature does not show current standing.
No reliance rights. No one gains rights against us by reading or relying on a certificate. Certificates are provided as-is.
15.Beta features
Features we label or treat as beta, preview or experimental are provided as-is. They may change or stop at any time, are excluded from any service level, and should not be used in production without independent checks.
16.Intellectual property
In short: SEC filings are public and we do not own the facts in them. We do own the compilation, software and methods we built. You may use them under your licence.
16.1 Public facts are not ours. SEC filings are public. Anyone may obtain them from the SEC. We do not claim ownership of facts reported in filings or of the text of any filing.
16.2 What we own. We own the Service and our work in it:
- the selection, arrangement and coordination of Valuein Data;
- our standardisation, taxonomy and concept mappings;
- point-in-time and survivorship mappings, restatement tracking and provenance hashes;
- entity and security-identifier mappings;
- validation rules, schemas and Documentation;
- the software, including the SDK, the MCP Server and the API.
These Terms transfer none of it to you.
16.3 Third-party marks. Index, exchange and company names are used only to identify factually what a dataset covers. Valuein is not affiliated with or endorsed by any index provider, exchange or issuer. Our index-membership records are our own reconstruction from public sources (SEC filings, the portfolio holdings disclosed by funds that track each index, publicly available constituent lists and public reports of index changes); they are not any index provider's licensed constituent list and may differ from it. §19 names the owners of the index marks we refer to; other names belong to their owners.
16.4 Our marks. "Valuein" and our logo are our trademarks. You may refer to them accurately and nominatively, including in the attribution the License Schedule requires.
16.5 Feedback. You give us a perpetual, irrevocable, worldwide, royalty-free licence to use Feedback for any purpose, without obligation to you.
17.Confidential information
If we share non-public material with you, you will keep it confidential and use it only to evaluate or use the Service. That includes non-public documentation and schemas, custom pricing, roadmap and security information. This obligation lasts during your use of the Service and for 3 years after. It does not cover information that is public, that you already had or received lawfully from someone else, or that you developed independently. You may disclose information where the law requires, with notice to us where lawful. Public facts in Valuein Data are not confidential information. Your obligations about Valuein Data are in the License Schedule.
18.Third-party services and data
The Service relies on third parties, including SEC EDGAR, market-data vendors, Stripe, Cloudflare, sign-in providers and AI model providers. Their terms govern your direct use of them. We are not responsible for their acts or availability. Market Data is licensed to us by third-party vendors. If an upstream licence changes, we may restrict or withdraw Market Data, with as much notice as that licence allows.
19.Third-party trademarks and index data
S&P 500® is a registered trademark of Standard & Poor's Financial Services LLC; Russell® indexes are trademarks of FTSE Russell; Nasdaq-100® is a trademark of Nasdaq, Inc. Valuein is not affiliated with, sponsored, endorsed or licensed by any index provider. Index membership is reconstructed independently by Valuein from public information: SEC filings, the portfolio holdings disclosed by funds that track each index, publicly available constituent lists and public reports of index changes; never from an index provider's licensed constituent data.
20.Disclaimers
In short: we work hard on accuracy but cannot promise perfection. The data reproduces what companies filed, and filings can be wrong or later restated.
THE SERVICE, VALUEIN DATA, AI OUTPUT AND CERTIFICATES ARE PROVIDED "AS IS" AND "AS AVAILABLE." VALUEIN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT VALUEIN DATA IS ACCURATE, COMPLETE OR CURRENT.
Valuein Data reproduces and standardises what issuers filed. We do not warrant the accuracy of issuers' filings. Filings may contain errors and XBRL tagging mistakes. Amendments and restatements can change history. Point-in-time views show what had been filed as of a date. Our processing can also introduce errors. Verify any figure that matters to a decision against the original filing on EDGAR.
These disclaimers do not limit any warranty or right that cannot lawfully be disclaimed where you live; §26 says which ones.
21.Limitation of liability
In short: if something goes wrong, our liability is capped at what you paid us in the last 12 months, or US$100 if that is more. We are not liable for trading losses. Some liability can never be limited, and we say which.
(a) EXCLUDED DAMAGES. Neither Valuein nor anyone acting for it is liable for:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES;
- LOST PROFITS, REVENUE OR GOODWILL;
- TRADING OR INVESTMENT LOSSES, OR LOSSES FROM BACKTESTS, MODELS OR EXECUTION;
- COST OF SUBSTITUTE DATA OR SERVICES.
This applies to any claim arising from these Terms or the Service, under any theory, even if we were told such loss was possible.
(b) CAP. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (i) THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE FIRST CLAIM, AND (ii) US$100.
(c) What is never limited. Sections 21(a) and 21(b) do not limit:
- liability for fraud or fraudulent misrepresentation;
- liability for wilful misconduct or gross negligence;
- liability for death or personal injury caused by negligence;
- liability for violation of law, where California Civil Code §1668 forbids limiting it;
- any liability that §27 says cannot be limited where you live.
(d) Why. These limits reflect how we price the Service and apply even if a limited remedy fails of its essential purpose.
(e) Your liability. If you are a Business User, the limits in this section do not apply to your payment obligations, your indemnity obligations, or your breach of the License Schedule's restrictions on Display, Redistribution, Model Training or Cached Data. If you are a Consumer, your liability to us is limited the same way ours is limited to you, except for unpaid fees and wilful breach of those restrictions.
22.Indemnity
You will defend and indemnify Valuein, its owner, personnel, agents and successors against third-party claims, and pay the resulting losses, damages, fines and reasonable legal fees, to the extent they arise from:
- your breach of these Terms;
- your breach of §28, including any fine, penalty or government investigation cost that results;
- your unlawful use of the Service;
- your User Content or Published Content, including content you sell;
- products, services or work you build or distribute using the Service or Valuein Data;
- your Agents' actions;
- your use of a third-party AI provider under your own key.
We will tell you promptly about a claim. We may control the defence at our cost, and you will cooperate. You may not settle a claim that imposes obligations on us without our written consent.
This section does not require you to indemnify us for our own negligence, misconduct or breach. §27 sets out further limits for consumers.
23.Term, suspension and termination
In short: you can leave at any time. We can suspend you for serious problems, or end the Service for you with notice and a pro-rata refund. Raw copies of Valuein Data must be deleted within 30 days.
23.1 You may delete your Account at any time in Account settings (Profile → Delete account) or by emailing legal@valuein.biz. Deleting your Account cancels any subscription.
23.2 Suspension. We may suspend all or part of the Service for you, with notice where practicable, if:
- you materially breach these Terms;
- payment is overdue as described in §6.7;
- your use creates a security risk or harms the Service or others;
- the law, a regulator or a court requires it;
- we reasonably believe you have breached §28.
We restore access when the problem is resolved.
23.3 Termination by us. We may terminate your Account, without refund, for a material breach that you do not cure within 10 days after notice. Some breaches cannot be cured, and we may terminate for those immediately: §8.1(1)–(5), sharing Credentials, breaching §28, or using the Service unlawfully. We may also stop providing the Service to you for any other reason on 30 days' notice. If we do, we refund the prepaid fees for the unused period.
23.4 Effect. When your Account ends:
- your licence and Credentials end, and you must stop accessing the Service;
- unless we terminated for breach, you may export your User Content for 30 days (in-app where available, or on request to legal@valuein.biz), after which we delete it as the Privacy Policy describes;
- you must delete raw and Cached Data, or stop accessing it, within 30 days, and confirm in writing within 10 business days if we ask;
- your Derived Work remains yours.
23.5 Survival.
- Valuein Data you obtained: the License Schedule's restrictions on Display, Redistribution, Model Training and Cached Data continue to apply to Valuein Data you obtained through the Service for as long as you, or anyone you gave it to, keeps any of it.
- Confidential information: §17 continues for 3 years after the end.
- For as long as relevant: these sections continue: §6 (amounts owed and refund rights), §10.2 (licence for content already published, until removed), §10.3, §12, §13, §14, §16, §20, §21, §22, §23.4, §23.5 and §25–§30.
24.Changes
24.1 To the Service. We improve and change the Service. If a change materially reduces a paid Plan's features, we give at least 30 days' notice. If the change makes the Service unsuitable for you, you may cancel within 30 days of the notice and receive a pro-rata refund of prepaid fees. We version the Bulk API and MCP tools. We announce breaking changes to paid Plans at least 30 days ahead, except where security or the law requires faster action.
24.2 To these Terms.
- Minor changes: we may make non-material changes, such as clarifications or new optional features, by posting them with a new effective date.
- Material changes: for any change that reduces your rights or increases your obligations, we give at least 30 days' notice by email and in the Workspace, and ask you to accept the new version.
- If you have not accepted: during the notice period you may keep using the Service under the prior version. After it, until you accept, we may limit your Account to exporting your content and managing billing.
- Not retroactive: changes never apply to a dispute, or a claim arising from events, before the effective date of the change.
- Changes to §25: §25.9 applies.
25.Dispute resolution and arbitration
PLEASE READ THIS SECTION. IT AFFECTS HOW DISPUTES ARE RESOLVED.
25.1 Giving up court and a jury. YOU AND VALUEIN AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION INSTEAD OF IN COURT. THIS MEANS YOU ARE GIVING UP YOUR RIGHT TO SUE IN COURT AND TO HAVE A JUDGE OR JURY DECIDE YOUR CLAIM, EXCEPT FOR THE SMALL-CLAIMS AND OTHER EXCEPTIONS BELOW. YOU ALSO GIVE UP THE RIGHT TO BRING OR JOIN A CLASS OR REPRESENTATIVE ACTION. An arbitrator, not a judge or jury, decides the claim. Arbitration has more limited discovery and appeal than court. You may opt out of this section under §25.8.
25.2 Talk to us first. Before starting arbitration, the party with the claim sends a written notice to the other. Notices to us go to legal@valuein.biz. Notices to you go to your Account email. The notice gives:
- the claimant's name and contact details;
- the Account email, if any;
- a description of the claim;
- the relief sought.
It is signed by the claimant, and by their lawyer if they have one. We both try in good faith to resolve the dispute for 60 days. Limitation periods are paused during that time.
25.3 What is covered. Any dispute about these Terms or the Service, including their formation, is resolved by arbitration under this section, except:
- (a) claims within a small-claims court's jurisdiction, which either of us may bring there individually;
- (b) claims for a temporary or preliminary injunction to stop actual or threatened misuse of Credentials, circumvention of the Service's technical measures or infringement of intellectual property, which either of us may bring in court while the arbitration on the merits proceeds;
- (c) claims that §25.4 sends to court.
25.4 Rules and provider. The American Arbitration Association ("AAA") administers the arbitration:
- under its Consumer Arbitration Rules if you are a Consumer, and its Commercial Arbitration Rules if you are a Business User;
- under its Mass Arbitration Supplementary Rules when they apply (generally 25 or more similar demands filed by the same or coordinated counsel).
The Federal Arbitration Act governs this section. A single arbitrator decides each claim, and a hearing, if any, takes place in your county of residence or by video.
Who decides what:
- The arbitrator decides questions about the scope, enforceability and arbitrability of this section.
- A court decides whether §25.5 is enforceable and whether an opt-out was valid.
- Public injunctive relief (if available by law, such as in California) is decided by a court after the individual arbitration ends. That court case is paused until then.
25.5 Individual claims only. CLAIMS MAY BE BROUGHT ONLY INDIVIDUALLY, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. The arbitrator may award relief only to the individual claimant. If a court finds this sentence unenforceable for a particular claim or remedy, that claim or remedy is severed and decided in court, and the rest stays in arbitration. Arbitration proceeds on its own terms; it never becomes class arbitration.
25.6 Fees.
- Consumers: filing and arbitrator fees follow the AAA's consumer fee schedule. We pay all AAA fees beyond the filing fee the consumer would pay, and we reimburse that filing fee if you win.
- Business Users: fees follow the AAA Commercial fee schedule.
- Lawyers' fees: each party pays its own, unless the law or the arbitrator awards them. The arbitrator may award fees against a party whose claim or defence was frivolous.
25.7 Mass arbitration. If the AAA Mass Arbitration Supplementary Rules apply, the AAA's process for staging, administering and setting fees for the cases governs. Nothing in these Terms adds a different batching procedure.
25.8 30-day opt-out. You may opt out of this §25 within 30 days after you first accept these Terms. Email legal@valuein.biz with your name, your Account email and a statement that you opt out of arbitration. Opting out does not affect anything else in these Terms. If you opt out, disputes go to the courts named in §26, and §26's jury waiver applies.
25.9 Changes to this section. If we make a material change to this §25, you may reject it within 30 days of notice by emailing legal@valuein.biz. If you do, the version of §25 you last accepted continues to apply to you.
25.10 Confidentiality. Nothing in this section prevents either party from discussing the dispute or its outcome, unless the arbitrator orders protection for confidential business information.
26.Governing law and venue
In short: New Jersey law, plus the consumer protections of your home state.
These Terms are governed by the laws of the State of New Jersey and applicable U.S. federal law, without regard to conflict-of-laws rules. If you are a Consumer, you keep the protection of the mandatory laws of the place where you live (§27). Claims not arbitrated under §25 go exclusively to the state and federal courts located in New Jersey, except where the law where you live as a Consumer gives you the right to sue at home.
WHERE A DISPUTE IS DECIDED IN COURT, YOU AND VALUEIN EACH WAIVE THE RIGHT TO A JURY TRIAL, TO THE EXTENT THE LAW OF THE FORUM PERMITS SUCH A WAIVER. The UN Convention on Contracts for the International Sale of Goods does not apply.
27.Rights you keep by law
These Terms do not take away rights that the law gives you and that cannot be waived. Instead of a general "where permitted by law", here is what applies.
- New Jersey consumers.
- §21(a) and §21(b) do not limit Valuein's liability for its negligence, recklessness or wilful misconduct causing personal injury or property damage.
- §21(a) does not limit punitive damages available under N.J.S.A. 2A:15-5.9 et seq.
- Nothing limits remedies available under the New Jersey Consumer Fraud Act.
- §22 does not require you to indemnify Valuein for Valuein's own negligence or misconduct, or for third-party claims caused by Valuein.
- §26's jury waiver does not apply to you.
- All other provisions apply in New Jersey.
- California residents. Nothing in these Terms exempts Valuein from responsibility for its own fraud, wilful injury to the person or property of another, or violation of law (Cal. Civ. Code §1668). Claims for public injunctive relief are handled as §25.4 describes.
- EU and UK consumers.
- You keep the protection of the mandatory consumer law of your country of residence, including statutory rights for digital services, the withdrawal right in §6.4, and liability for death or personal injury caused by negligence and for fraud.
- You may bring proceedings in the courts of your country of residence.
- §25 (arbitration) and §26's jury waiver do not apply to you.
- Other places. Where another law makes a provision unenforceable against you, §30.7 applies.
28.Export controls and sanctions
In short: you must be allowed to receive U.S.-origin data, and so must everyone you give access to. Do not give Credentials, Valuein Data or outputs to a sanctioned person, place or military end use. You do your own screening. We screen too, and we may stop an order or an Account. This summary is not a substitute for the clauses below.
28.1 Compliance. You will comply with U.S. export-control and sanctions laws, and with the export-control and sanctions laws of any other country that apply to you.
28.2 What you represent. You represent and warrant, when you accept these Terms and every time you use the Service, that none of the following (together, your "Covered Persons") is described in (a) or (b), and that (c) is true: you; each person that owns or controls you; each user of your Account; each Agent operator; and each end user of the Service, of Valuein Data or of anything you make with them.
- (a) Sanctioned place. Located in, organised under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions. The current list is published by OFAC.
- (b) Restricted list. Listed on, or owned 50% or more (individually or in the aggregate) or controlled by one or more persons listed on, a U.S. government restricted-party list: OFAC's SDN List and other OFAC sanctions lists, and the Commerce Department's Entity List, Denied Persons List, Unverified List and Military End-User List, and the State Department's list of debarred parties (together, the U.S. Consolidated Screening List). It also covers an equivalent United Nations, European Union or United Kingdom list where that list applies to you.
- (c) End use. You will not use the Service, Valuein Data or outputs for a prohibited end use: the design, development, production or use of nuclear, chemical or biological weapons or of missiles, or a military end use or military end user where U.S. law restricts it.
28.3 No diversion. You will not, directly or indirectly, sell, transfer, sublicense, share, disclose, provide access to or allow the use of any of the following to a Restricted Party, to anyone in a place described in §28.2(a), or for a use described in §28.2(c): Credentials or an Account; Valuein Data, including datasets, files and extracts, and derived data to the extent these Terms allow you to pass it on; the SDK or other software we provide; or outputs of the Service. The License Schedule requires you to pass this restriction on to anyone who receives Valuein Data from you.
28.4 Your responsibility. You alone are responsible for your own compliance with this section, at your own cost. That includes screening your users, Agent operators, end users and anyone you give Valuein Data or outputs to, before you give them access and regularly afterwards. Our screening does not replace yours. If you become a Restricted Party, or learn that a user, end user or recipient is, you will tell us at legal@valuein.biz promptly and stop their access at once.
28.5 Our screening and remedies. We screen customer names, organisations and countries against U.S. government restricted-party lists before and after purchase. You agree that we may refuse, hold or cancel an order or a payment, and may suspend or terminate your Account, Credentials and access, immediately and without liability or refund (except a refund that the law requires), if the law requires it or we reasonably believe that you have breached this section. A breach of this section cannot be cured (§23.3).
28.6 Indemnity. §22 applies to your breach of this section. It covers the losses, fines, penalties and costs, including reasonable legal fees and the cost of responding to a government inquiry, that we incur because of the breach.
28.7 Anti-bribery. You will also comply with applicable anti-bribery laws, including the U.S. Foreign Corrupt Practices Act, in connection with the Service.
29.Force majeure
Neither of us is liable for delay or failure caused by events beyond reasonable control, including:
- natural disasters, war, terrorism, civil unrest, pandemics or government action;
- internet or power failures, or cyberattacks;
- outages at SEC EDGAR, Cloudflare, Stripe, market-data vendors or AI model providers.
This section does not excuse your payment obligations. If such an event stops the Service for more than 60 consecutive days, either of us may end the affected paid Plan. You then receive a pro-rata refund of prepaid fees.
30.General
30.1 Notices.
- To you: by email to your Account address, or in the Workspace.
- To us: by email to legal@valuein.biz.
- Delivery: email notices are effective when sent, unless we receive a delivery failure.
30.2 Electronic communications. You agree to receive agreements, notices and records electronically, and that they satisfy any writing requirement, including under the E-SIGN Act and UETA.
30.3 Assignment.
- You may not transfer these Terms without our written consent.
- We may transfer them without your consent, on notice, to an entity formed to carry on the Valuein business, to an affiliate, or to a successor in a merger, reorganisation or sale of all or substantially all of the business, if the transferee takes on our obligations.
30.4 Publicity. We will not name you or your organisation as a customer without your written consent, or as an Enterprise Agreement or a Redistribution Licence allows.
30.5 Government users. The Service is "commercial computer software" and "commercial computer software documentation" (48 C.F.R. 2.101, 12.212 and 227.7202). Government rights are only those granted in these Terms.
30.6 Relationship. We are independent parties. There are no third-party beneficiaries, except Valuein's indemnitees under §22.
30.7 Severability and waiver.
- Severability: if a provision is unenforceable, it is limited to the minimum extent necessary and the rest stays in effect, except as §25.5 says for class claims.
- Waiver: a failure to enforce a provision is not a waiver.
30.8 Entire agreement. These Terms, with the documents listed in §3, are the entire agreement about the Service. They replace earlier versions for disputes arising after the effective date.
30.9 Interpretation. Headings and "In short" summaries help you read the Terms, but they do not change or limit the clauses. "Including" means "including without limitation".
